🧾 MEMBERSHIP AGREEMENT

1. PARTIES

This Membership Agreement (“ Agreement ”),
 on one side,
 Skadala Consulting and Textile Production Ltd. Co. (“ Skadala ” or the “ Company ”),
 It operates at the address Cumhuriyet Mahallesi, Sadık Şendil Sokak No:38/4, Şişli / Istanbul,

on the other side,
It has been concluded electronically between the internet user (“ Member ”) who is a member of the www.skadala.com website .

2. SUBJECT OF THE CONTRACT

This Agreement determines the conditions under which the Member may benefit from the services offered through the www.skadala.com website, the rights and obligations of the parties, and the principles regarding the protection of personal data.
 By approving this agreement, the Member is deemed to have agreed to benefit from the website services in accordance with the conditions determined by Skadala.

3. MEMBERSHIP CONDITIONS

3.1. The Member undertakes that all information shared when registering on www.skadala.com is accurate, complete and up-to-date.
3.2. The Member agrees that he/she will not share the password he/she specified when registering to the site with third parties and that he/she is responsible for all transactions made from his/her account.
 3.3. Membership is for individual use only. It cannot be transferred, sold or used by anyone else.
 3.4. If the information provided by the Member is determined to be untrue, Skadala has the right to unilaterally terminate the membership.

4. PARTY RIGHTS AND LIABILITIES

4.1. Skadala's Rights and Obligations

  • Skadala may temporarily suspend or modify the service for technical reasons, maintenance or updates.

  • Skadala may make improvements to the system without prior notice.

  • The confidentiality of member information is protected within the scope of the KVKK Information Text and will not be shared with third parties (except in cases of legal obligation).

  • Skadala reserves the right to limit or terminate the Member's use of the site in cases of security or abuse.

4.2. Member's Rights and Obligations

  • The member agrees to use the site only for lawful purposes.

  • The Member undertakes not to violate the rights of third parties during transactions carried out on the site and not to take any action that would harm the site or disrupt the service.

  • The member is responsible for the accuracy and originality of the content he uploads to the system and for not violating the rights of third parties.

  • Members cannot copy, distribute or use the content of the site for commercial purposes without the prior written permission of Skadala.

5. INTELLECTUAL PROPERTY RIGHTS

All content, designs, logos, brands, texts, visuals and databases on the www.skadala.com website belong to Skadala Consulting and Textile Production Ltd. Co.
 Unauthorized copying, reproduction or use of these contents is prohibited under the Law on Intellectual and Artistic Works No. 5846 .

6. CONFIDENTIALITY AND PROTECTION OF PERSONAL DATA

Personal data of the Member is processed, stored and protected in accordance with the Personal Data Protection Law No. 6698 (KVKK) and relevant legislation.

7. ELECTRONIC MESSAGE CONSENT

By approving this agreement, the Member is deemed to have allowed Skadala to send him/her campaign, promotion, discount and information messages via e-mail, SMS or call .
 The Member may revoke this permission at any time by sending an e-mail to info@skadala.com or through the Message Management System (IMS).

8. TERMINATION OF THE CONTRACT

Skadala has the right to suspend or completely terminate membership if it detects that the Member has acted contrary to his obligations set forth in this agreement.
 The member may terminate his/her membership at any time by closing his/her account.

9. LIMIT OF LIABILITY

Skadala cannot be held responsible for any damages that may occur due to system errors, internet access interruptions or problems caused by third parties.
 The member accepts all risks arising from the use of the site.

10. DISPUTE RESOLUTION

Istanbul Central Courts and Enforcement Offices have jurisdiction over any disputes that may arise from this contract.

11. ENFORCEMENT

When the member fills out the membership form on www.skadala.com and ticks the "I have read and accept the Membership Agreement" box, he/she is deemed to have declared that he/she has read, understood and accepted all of the provisions of this agreement.
 This agreement shall enter into force on the date it is approved electronically.
